Firefly Aerospace to Acquire National Security Tech Firm SciTec for $855 Million

Firefly Aerospace has announced a definitive agreement to acquire SciTec, Inc., a leading national security technology company, in an $855 million strategic transaction aimed at expanding its defense and intelligence capabilities.

Deal Structure

The acquisition will be completed through a combination of $300 million in cash and $555 million in Firefly shares, issued to SciTec owners at $50 per share. The deal is expected to close by the end of 2025, pending regulatory approvals and customary closing conditions.

Strategic Rationale

“The acquisition of SciTec enhances our ability to support a growing number of defense missions and provides us with a significant operational advantage,” said Jason Kim, CEO of Firefly Aerospace. The deal will integrate SciTec’s mission-proven software and big data processing capabilities with Firefly’s space launch and lunar landing services.

SciTec brings critical capabilities in missile warning and defense, intelligence, surveillance and reconnaissance, space domain awareness, and autonomous command and control. The company’s AI-enabled systems are designed for low-latency operations supporting advanced threat tracking and response across multiple domains.

Headquartered in Princeton, New Jersey, SciTec operates six facilities strategically positioned near key space and defense customers. The defense technology company generated approximately $164 million in revenue for the twelve-month period ending June 30, 2025, driven by contracts with the intelligence community, defense agencies, and commercial customers.

Earlier this year, SciTec secured a $259 million contract from the U.S. Space Force to enhance the Future Operational Resilient Ground Evolution (FORGE) framework, delivering scalable, cyber-secure ground processing capabilities for missile warning and tracking missions.

Post-Acquisition Plans

Following the transaction’s completion, SciTec will operate as a Firefly subsidiary under its current business model. Jim Lisowski will continue as CEO of SciTec, reporting to Firefly CEO Jason Kim.
